Terms of Service
The terms and conditions governing your use of SeahorseDesk services.
These Terms of Service (“Terms”) govern your access to and use of the website at seahorsedesk.com and all services provided by SeahorseDesk (“we,” “us,” or “our”). By accessing our website or engaging our services, you agree to these Terms in full.
If you are using our services on behalf of a business, you represent and warrant that you have the authority to bind that business to these Terms.
1. Services
SeahorseDesk provides Amazon FBA-related services including:
- FBA Reconciliation & Reimbursement Recovery: Daily auditing of your Seller Central account to identify and file reimbursement claims for lost, damaged, or discrepant inventory, fee overcharges, and other recoverable amounts.
- FBA Account Management: Ongoing monitoring and optimisation of account health, IPI score, listings, and storage management.
- Amazon Product Research: Data-driven product opportunity analysis including demand, competition, margin modelling, and supplier identification.
The specific scope of services for each client is agreed upon in writing prior to commencement. We reserve the right to modify or discontinue services at any time with reasonable notice.
2. Amazon Seller Central Access
To provide reconciliation and account management services, you agree to grant SeahorseDesk read-only access to your Amazon Seller Central account as a limited user. You confirm that:
- You have the right and authority to grant such access
- Granting this access does not violate any agreement you have with Amazon or any third party
- You will promptly revoke access upon termination of services
We will use this access solely for the purposes of delivering the agreed services. We will not make purchases, modify listings, or transfer funds without your explicit written authorisation.
3. Fees and Payment
Reimbursement Recovery
Our FBA Reconciliation & Reimbursement Recovery service is priced on a performance basis. We charge a commission only on amounts actually recovered and credited to your Seller Central account by Amazon. No recovery means no fee. The commission rate is agreed in writing before services commence.
Account Management & Product Research
FBA Account Management and Product Research services are billed on a monthly retainer or per-project basis as agreed in writing. Payment is due within 14 days of invoice. Late payments may incur interest at 1.5% per month on the overdue amount.
Free Audit
The initial account audit is provided at no cost and with no obligation to engage further services.
4. Client Responsibilities
You agree to:
- Provide accurate and complete information when requested
- Maintain a valid and active Amazon Seller Central account in good standing
- Promptly provide cost documentation (COGS) and other information required to file claims on your behalf
- Notify us immediately of any changes to your account access or Seller Central permissions
- Not take any action that would jeopardise claims we have filed or are preparing to file
5. Compliance with Amazon’s Terms of Service
All services provided by SeahorseDesk are designed to be fully compliant with Amazon’s current Terms of Service, Programme Policies, and Selling Policies. We do not use any methods that violate Amazon’s policies. However, Amazon reserves the right to change its policies at any time. You acknowledge that changes to Amazon’s policies may affect the services we can provide or the outcomes of claims we file.
6. Limitation of Liability
SeahorseDesk’s services are provided on a best-efforts basis. We make no guarantee of specific recovery amounts, approval rates, or outcomes. Amazon retains sole discretion over claim approvals and reimbursement amounts.
To the maximum extent permitted by law, SeahorseDesk’s total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the total fees paid by you to SeahorseDesk in the three months preceding the claim. We are not liable for indirect, consequential, incidental, or punitive damages.
7. Confidentiality
Both parties agree to treat as confidential all non-public information received from the other party in connection with the services. Neither party will disclose the other's confidential information to third parties without prior written consent, except as required by law.
8. Intellectual Property
All content on the seahorsedesk.com website — including text, graphics, logos, and code — is the property of SeahorseDesk and is protected by applicable copyright and intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written permission.
9. Termination
Either party may terminate the service agreement with 30 days' written notice. We may terminate immediately if you breach these Terms, fail to pay invoices, or if your Amazon account is suspended or terminated. Upon termination, any outstanding fees become immediately due and payable.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Gujarat, India. Any disputes shall first be attempted to be resolved through good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Vadodara, Gujarat, India.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by updating the date at the top of this page. Continued use of our services after changes constitutes acceptance of the updated Terms.
